Terms and Conditions – Digital Marketing Services
These Terms and Conditions govern the provision of digital marketing services by TechWaqar to the client
By using our services, you agree to be bound by these terms. If you do not agree, you should not use our services.
1. Services Provided
We offer digital marketing services including, but not limited to:
Search engine optimization (SEO)
Social media marketing (SMM)
Pay-per-click advertising (PPC)
Content marketing
Email marketing
Website development and optimization
Analytics and reporting
The scope of work will be outlined in a separate Statement of Work (SOW) or proposal.
2. Client Obligations
You agree to:
Provide accurate, complete, and timely information necessary to perform the Services.
Grant access to platforms, accounts, and other resources as required.
Review and approve campaigns, content, or creative assets within reasonable timeframes.
Comply with applicable laws and platform policies.
Failure to cooperate may result in delays or suspension of services.
3. Payment Terms
Fees for services will be detailed in the proposal or SOW.
Payments are due according to the schedule provided.
Late payments may incur interest or result in suspension of services.
Additional work outside the scope of the agreed services will be billed separately.
4. Term and Termination
This Agreement will commence on the Effective Date and continue until completion of the Services or terminated by either party with [Insert Notice Period, e.g., 30 days] written notice.
We reserve the right to terminate this agreement immediately if you violate any terms or fail to make timely payments.
5. Intellectual Property
All intellectual property rights for content created by us will remain with TechWaqar unless otherwise agreed in writing.
You are granted a limited, non-exclusive, non-transferable license to use the materials for the duration of the agreement.
You are responsible for ensuring that all materials you provide do not infringe third-party rights.
6. Confidentiality
Both parties agree to keep any confidential information received during the course of this engagement private and not disclose it to third parties without written consent, except as required by law.
7. Limitations of Liability
We will provide services with reasonable skill and care but do not guarantee specific results, rankings, or revenue outcomes.
We are not liable for indirect, incidental, or consequential damages.
Our total liability will not exceed the amount paid by you for the Services.
8. Data and Privacy
We comply with applicable data protection laws. By using our services, you agree that we may collect, process, and store data necessary for providing the Services.
You are responsible for obtaining appropriate permissions if sharing customer data.
9. Third-Party Tools and Services
We may use third-party tools, software, or platforms to deliver the Services. Use of such tools is subject to their own terms and policies, for which we are not responsible.
10. Dispute Resolution
Any disputes arising from this Agreement will first be attempted to be resolved through amicable negotiation. If unresolved, disputes will be governed by the laws of the State of Uttar Pradesh, India.
11. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be communicated in writing and will take effect as specified.
12. Entire Agreement
This document, along with any attached proposal or SOW, constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.
